Affiliate Programme Terms

The terms that govern participation in the Orbit Commerce Affiliate Programme. These terms form part of the Terms of Service.

1. Scope and Acceptance

These Affiliate Programme Terms (the “Terms”) are between you (the “Affiliate”) and Orbit Technologies Limited, trading as Orbit Commerce (“we”, “us”, “our”). They govern your participation in the Orbit Commerce Affiliate Programme (the “Programme”), under which you refer prospective Vendors to Orbit Commerce in return for a commission.

By applying to join the Programme, accepting these Terms, or sharing an affiliate link, you agree to be bound by these Terms, the Terms of Service, and the Acceptable Use Policy. If there is a conflict between these Terms and the Terms of Service in relation to the Programme, these Terms take precedence.

Your participation in the Programme is a business-to-business relationship. You participate as a business, and the statutory rights available to consumers do not apply to your participation in the Programme.

2. Joining the Programme

You apply to the Programme through the affiliate dashboard. We review each application and admission is at our sole discretion. We may decline an application without giving a reason. You must be at least eighteen (18) years old and legally able to enter into binding contracts.

You must provide accurate, current, and complete information when applying and keep it up to date for as long as you participate. This includes your identity, your promotional channels, and your payout details.

You may hold one affiliate account. Opening or operating multiple affiliate accounts, or sharing an account with another person, is not permitted without our prior written consent.

3. Referral Links and Tracking

When you are admitted to the Programme, we provide you with unique referral links. Referrals are attributed to you using tracking technology (including cookies and similar identifiers) with a thirty (30) day attribution window from the date a prospective Vendor clicks your link. If the prospective Vendor signs up within that window, the referral is attributed to you, subject to these Terms.

Where more than one affiliate refers the same prospective Vendor, attribution follows the tracking record shown in the affiliate dashboard.

We do not guarantee attribution where the tracking technology is blocked, disabled, cleared, or otherwise circumvented, whether by the prospective Vendor, their browser or device settings, or any third party. We are not liable for referrals that cannot be attributed for reasons outside our reasonable control.

4. Commissions

You earn a one-off commission for each referred store that becomes a paying customer. Commission is earned when the referred store’s first subscription payment is successfully made. No commission is payable for free trials, free plans, or signups that never make a subscription payment.

The commission rates in force are published in the affiliate dashboard and may vary by subscription plan. We may change commission rates from time to time; changes apply prospectively to referrals made after the change takes effect and do not affect commission you have already earned. The commission schedule shown in the affiliate dashboard is the schedule in force.

Earned commission is held for thirty (30) days before it clears, to protect against refunds and chargebacks. If the referred store’s first subscription payment is refunded, charged back, or reversed, or the referral is found to breach these Terms, the related commission is forfeited and, where already paid, may be recouped from your balance or future payouts.

5. Payouts

Cleared commission accumulates as a balance in your affiliate dashboard. Payouts are made once your cleared balance reaches a minimum of fifty pounds sterling (£50), by bank transfer or PayPal, to the payout details you have registered.

You are responsible for keeping your payout details accurate. We are not liable for payments sent to details you have supplied incorrectly. Payouts are made in pounds sterling (GBP); you are responsible for any conversion or receiving fees charged by your bank or payment provider.

You are responsible for all taxes payable on commission you earn under these Terms, including any VAT, income tax, and self-employment taxes. You must provide us with accurate tax information when we ask, including a valid VAT registration number where applicable.

6. Prohibited Conduct

You must not:

  • refer yourself, your own business, or accounts you control (self-referral), or otherwise use your own link to obtain commission on your own purchases;
  • make false, misleading, or unauthorised statements about Orbit Commerce, its pricing, or its features;
  • send spam, unsolicited email, or unsolicited SMS containing your links;
  • bid on “Orbit Commerce”, “Orbit Technologies”, or any of our trade marks or confusingly similar variations in paid search or other paid placement;
  • post your links or codes on coupon, voucher, or deal sites in a way that claims offers we do not run, or misrepresents a generic link as an exclusive discount;
  • offer cash-backs, rewards, or other incentives for signing up through your link without clearly disclosing the incentive and your affiliate relationship;
  • use cookie stuffing, forced clicks, iframes, bots, or any other artificial means of generating clicks or attributions.

You must clearly and conspicuously disclose your affiliate relationship in any promotion, in line with ASA and CMA guidance on advertising and influencer marketing (and, where you promote to audiences outside the UK, the equivalent rules that apply there, such as the FTC Endorsement Guides in the United States). You must comply with all advertising standards and consumer protection law that applies to your promotions, including the Digital Markets, Competition and Consumers Act 2024.

7. Intellectual Property and Brand Use

Subject to your compliance with these Terms and our brand guidelines, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the “Orbit Commerce” name and the approved logos and marketing assets we make available, solely to promote Orbit Commerce under the Programme.

You must not register or apply to register any trade mark, domain name, social media handle, or business name that is identical or confusingly similar to any of our trade marks, and you must not present yourself as Orbit Commerce or as our agent or employee. We may revoke the licence at any time. All goodwill from your use of our trade marks accrues to us.

8. Relationship

You and we are independent contractors. These Terms do not create any partnership, joint venture, agency, employment, or fiduciary relationship. You have no authority to bind us, to make commitments on our behalf, or to accept payment for us.

9. Suspension and Termination

Either party may terminate participation in the Programme at any time on written notice. You may close your affiliate account from the affiliate dashboard or by emailing support@orbitcommerce.net.

We may suspend or terminate your participation with immediate effect where we reasonably believe you have engaged in fraud, self-referral, artificial traffic, or any other breach of section 6, or where required by law or regulator demand. We may withhold payouts while we investigate suspected fraud or breach.

On termination other than for fraud or breach, we will pay out legitimately earned commission that has cleared, in the next normal payout cycle, even if your balance is below the minimum payout threshold. Commission arising from fraud or breach of these Terms is forfeited and will not be paid.

10. Changes to the Programme

We may change the features, commission rates, attribution window, payout methods, thresholds, and policies of the Programme from time to time, and we may amend these Terms. For material changes we will give at least thirty (30) days’ notice through the affiliate dashboard or by email. Changes apply prospectively and do not affect commission you have already earned. If you do not agree to a material change, your sole remedy is to leave the Programme before it takes effect.

11. Liability and Indemnity

11.1 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

11.2 Subject to section 11.1, neither party will be liable for any loss of profits, revenue, business, goodwill, anticipated savings, or opportunity (whether direct or indirect), or for any indirect, special, exemplary, punitive, or consequential loss, however arising. We do not warrant any level of clicks, referrals, conversions, or commission from your participation in the Programme.

11.3 Subject to sections 11.1 and 11.2, our total aggregate liability arising out of or in connection with these Terms in any twelve (12) month period is limited to the greater of (a) the total commission we paid to you under these Terms in that twelve (12) month period, or (b) one hundred pounds sterling (£100).

11.4 You will defend, indemnify, and hold us and our officers, employees, contractors, and affiliates harmless from any third-party claim and any damages, fines, penalties, and reasonable legal costs arising from: (a) your promotions, marketing, or communications; (b) your breach of these Terms or any law; or (c) your failure to make the disclosures required by section 6.

12. General

Notices to us must be sent to support@orbitcommerce.net. You may not assign these Terms without our prior written consent. We may assign these Terms to any member of our group or to a successor on a sale, merger, or reorganisation.

A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of their terms. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.

These Terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction.
