These Orbit Payments Terms (the “Payments Terms”) form part of the Terms of Service and apply whenever you activate or use Orbit Payments, our integrated payment service. Capitalised terms not defined here have the meanings given in the Terms of Service. If there is a conflict between these Payments Terms and the Terms of Service in relation to Orbit Payments, these Payments Terms prevail.
If you accept payments through a third-party payment gateway you have connected yourself (for example your own PayPal or other gateway account), these Payments Terms do not apply to that gateway; your agreement with that provider does.
1. What Orbit Payments Is
Orbit Payments lets you accept card and wallet payments (and other supported payment methods) from your Customers directly inside the Service, with fees, balances, payouts, and refunds managed from your vendor dashboard.
Payment processing for Orbit Payments is provided by Stripe Payments Europe, Limited and its affiliates (“Stripe”) under the Stripe Connect programme. Stripe is the regulated payment institution; we are not a bank, payment institution, e-money institution, or money transmitter, and we do not hold your funds or your Customers’ funds. Funds from your sales are held and settled by Stripe.
2. Your Agreement with Stripe
When you activate Orbit Payments, a Stripe connected account is created for your business, and you must accept the Stripe Connected Account Agreement, which incorporates the Stripe Services Agreement for your country. That agreement is between you and Stripe, and Stripe may amend it in accordance with its terms.
Activating or continuing to use Orbit Payments constitutes your acceptance of the Stripe Connected Account Agreement as it applies from time to time. If Stripe terminates or restricts your connected account, we may suspend or disable Orbit Payments on your Vendor Account without liability.
3. Eligibility and Verification
To use Orbit Payments you must provide accurate and complete information about your business, its owners, and its representatives, and keep that information up to date. This includes information Stripe requires to meet know-your-customer, anti-money-laundering, and sanctions obligations (for example identity documents, company details, and bank account details for payouts).
We and Stripe may request additional information or documentation at any time, including after activation. If you do not provide it, or if verification fails, payouts may be paused or Orbit Payments may be suspended or disabled.
Orbit Payments is available only in the countries shown in the vendor dashboard at activation, and only to businesses Stripe is able to support in those countries.
4. Prohibited and Restricted Categories
You must not use Orbit Payments to sell, or take payment for, any category on Stripe’s Prohibited and Restricted Businesses list. Section 3.11 of our Acceptable Use Policy summarises the main categories. In short: adult content, weapons and explosives, illegal drugs and high-THC cannabis products, gambling and paid-entry prize competitions, cryptocurrency and other non-fiat instruments, debt collection and credit repair, deceptive selling practices, counterfeit goods, and certain travel services are prohibited outright, and a further set of regulated categories requires Stripe’s prior approval.
Some categories that the Acceptable Use Policy otherwise permits on the Service with the right licences or approvals may still be prohibited or restricted through Orbit Payments. In that case you must obtain the required approval from Stripe where Stripe offers one, or connect an alternative payment provider that supports your category.
Stripe’s list changes over time and the current published version controls. You are responsible for checking it before you activate Orbit Payments and before you add a new product line. If your catalogue includes a prohibited or unapproved restricted category, we or Stripe may suspend or disable Orbit Payments, pause payouts, or terminate your connected account, without liability.
5. Fees
Orbit Payments transaction fees are charged per successful transaction at the published rate for your plan, as set out on the pricing page (including any separate rates for Amex, international cards, and buy-now-pay-later methods). Fees are deducted from the transaction amount before settlement to your balance.
We may change transaction fees in accordance with section 6 of the Terms of Service. Fees that Stripe charges you directly under the Stripe Connected Account Agreement, if any, are a matter between you and Stripe.
6. Payouts
Funds from your sales, less fees, refunds, chargebacks, and other deductions, are paid out by Stripe to the bank account you register for payouts, on the payout schedule shown in your vendor dashboard. Your first payout may take longer while initial account checks complete.
Payout timing depends on your bank, your country, and Stripe’s risk processes. Stripe may pause, delay, or claw back payouts where its agreement with you allows it (for example pending verification, on suspected fraud, or to cover chargebacks). We do not control and are not liable for Stripe’s payout decisions.
7. Refunds, Chargebacks, and Reserves
You are responsible for your refund and returns policy towards your Customers and for processing refunds promptly through the dashboard. Refunded amounts, and any associated non-refundable fees, are deducted from your balance or future payouts.
You are liable for chargebacks and payment disputes on your sales, including the disputed amount and any dispute fees, whatever the outcome of your own dispute with the Customer. You must maintain records sufficient to respond to disputes and respond to evidence requests by the stated deadlines.
Stripe may establish a reserve or require other security against your connected account where its risk assessment requires it. Where a negative balance arises on your connected account and is not covered by incoming funds, you must pay the shortfall promptly; we and Stripe may recover it from future payouts or charge your saved payment method.
8. Your Responsibilities
- Use Orbit Payments only for genuine sales of your own goods and services through your Storefront, not to process payments on behalf of third parties;
- Comply with the Acceptable Use Policy, card scheme rules, and all laws that apply to your sales, including consumer protection and distance selling law;
- Describe products accurately, fulfil orders as described, and publish accurate contact, delivery, and returns information;
- Not impose surcharges on payment methods where surcharging is prohibited (as it is for consumer cards in the UK);
- Account for your own taxes, including VAT, on your sales. We do not provide tax advice.
9. Data and Security
To provide Orbit Payments, we share information about you, your business, and your transactions with Stripe, and receive information from Stripe, as described in our Privacy Policy. Stripe processes personal data as described in its own privacy policy.
Card data entered at your checkout is captured and tokenised by the integrated payment infrastructure; your store does not receive raw card numbers, and you must not attempt to collect or store them elsewhere. You remain responsible for PCI-DSS compliance to the extent it applies to your use of the Service.
10. Suspension and Termination
We may suspend or disable Orbit Payments on your Vendor Account where these Payments Terms or the Acceptable Use Policy are breached, where Stripe requires it, where verification fails or is outstanding, or where we reasonably identify fraud, unacceptable chargeback levels, or other material risk. Section 9 of the Acceptable Use Policy applies to enforcement generally.
You can stop using Orbit Payments at any time by disabling it in the vendor dashboard and connecting another supported payment provider. Obligations that accrued before suspension or termination (including liability for refunds, chargebacks, and negative balances) survive it.
11. Liability
The limitations and exclusions of liability in the Terms of Service apply to these Payments Terms. Without limiting them, we are not liable for acts, omissions, or decisions of Stripe or of card schemes and banking partners, including declined transactions, account reviews, paused payouts, reserves, or termination of your connected account.
12. Changes
We may update these Payments Terms from time to time. Material changes will be notified in accordance with section 3 of the Terms of Service. Continued use of Orbit Payments after an update constitutes acceptance of the updated Payments Terms.
